Silent participation

The silent com­pa­ny par­tic­i­pa­tion / soci­ety is a spe­cial form of asso­ci­a­tion of per­sons. It involves the par­tic­i­pa­tion of a third par­ty (adma­go) with an insert in the assets of the busi­ness owner.

An entry in the com­mer­cial reg­is­ter does not take place. The rights and oblig­a­tions of adma­go — as a silent part­ner — are lim­it­ed to the inter­nal rela­tion­ship. There­fore, the silent part­ner — usu­al­ly — for out­siders not recognizable.

adma­go assumes soci­ety loss­es in part to the extent of the val­ue con­tri­bu­tion. The deposit may be fur­nished in the form of mon­ey, ser­vices and / or ben­e­fits in kind.


A dis­tinc­tion is made accord­ing to typ­i­cal silent and atyp­i­cal silent par­tic­i­pa­tion.

In the typ­i­cal silent par­tic­i­pa­tion of stake­hold­ers (adma­go) is the prof­its and — involved in the loss, but not assets of the com­pa­ny — depend­ing on the agreement.

In the atyp­i­cal silent part­ner­ship of the silent part­ners receive (adma­go) assets and con­trol rights, so that he is regard­ed as co-entre­pre­neurs. He is involved in the prof­it and loss and assets of the Company.
