Silent participation

The silent company participation / society is a special form of association of persons. It involves the participation of a third party (admago) with an insert in the assets of the business owner.

An entry in the commercial register does not take place. The rights and obligations of admago — as a silent partner — are limited to the internal relationship. Therefore, the silent partner — usually — for outsiders not recognizable.

admago assumes society losses in part to the extent of the value contribution. The deposit may be furnished in the form of money, services and / or benefits in kind.

A distinction is made according to typical silent and atypical silent participation.

In the typical silent participation of stakeholders (admago) is the profits and — involved in the loss, but not assets of the company — depending on the agreement.

In the atypical silent partnership of the silent partners receive (admago) assets and control rights, so that he is regarded as co-entrepreneurs. He is involved in the profit and loss and assets of the Company.

The individual requirements and possibilities need to be clarified in the interview or to arrange.
